Please read these Terms carefully. They describe what you can expect from Spindle and what we expect from you when you use our website, resources and forms.
1. Agreement to these terms
These Terms of Service ("Terms") are an agreement between you and Spindle Growth Ventures, LLC ("Spindle," "we," "us") and govern your use of spindlegrowth.com, the resources, templates, videos and other content we publish there, the forms and email addresses we provide for contacting us, and any related services (together, the "Services"). By using the Services, you accept these Terms. If you use the Services on behalf of an organization, you confirm that you have authority to bind it.
If you enter a separate written agreement with Spindle, such as a services agreement, term sheet, investment document or co-founding agreement, that agreement controls where it conflicts with these Terms.
2. What Spindle provides
Spindle is an AI-native venture firm. We create and fund companies with founders. The Services describe how we work, publish resources on company building, and give founders, operators, subject experts, capital partners and ecosystem partners a way to contact us. The Services are informational; any engagement with Spindle to build, fund or co-found a company is governed by a separate written agreement.
We may change, add or remove parts of the Services at any time.
3. Information, not advice
The Services, including every playbook, template, guide, insight, report and video, provide general information only. Spindle does not provide legal, tax, accounting, investment or financial advice through the Services, and nothing on the Services is a recommendation to make any investment, enter any transaction or take any business action. You are responsible for your own decisions and should confirm anything material with qualified advisors before relying on it.
Statements about third-party research, including figures attributed to McKinsey & Company, are those parties' findings and not representations about Spindle's results.
4. Submissions and ideas
If you send us an idea, a brief, a deck, a document or any other material through the Services or by email ("Submission"), you keep ownership of it. You give Spindle a limited licence to receive, store, review and discuss your Submission for the purpose of evaluating whether to work with you. You confirm that you have the right to share it and that it does not contain information you are obligated to keep confidential from us.
Spindle reviews many ideas and may already be building or evaluating companies similar to yours. Sending a Submission does not create a confidential relationship, a partnership, a fiduciary duty or any obligation on Spindle to respond, to refrain from similar work, or to compensate you, unless we agree otherwise in writing. Do not send trade secrets or information you consider confidential until a written agreement is in place.
5. Acceptable use
You agree not to use the Services to break the law; to harass, defame or harm anyone; to submit information you know to be false or have no right to share; to copy, resell or redistribute our content beyond what these Terms allow; to scrape, probe, overload or reverse engineer the Services; or to impersonate Spindle or any person. We may restrict or end access for anyone who breaks these rules.
6. Spindle's intellectual property
The Services and everything on them, including text, playbooks, templates, graphics, video, design, methods, software and branding, belong to Spindle or our licensors and are protected by intellectual property laws. Subject to these Terms, you may view the Services and may download and use our templates and resources for your own internal business purposes, with Spindle's attribution kept intact. You may not republish, sell or present our content as your own.
Company names and logos shown on the Services belong to their respective companies.
If you send us feedback about the Services, we may use it without restriction or obligation to you.
7. Third-party content and links
The Services link to third-party websites, including the sites of companies Spindle has built or funded, and reference third-party research. We do not control those sites or sources and are not responsible for their content, accuracy or practices. Links are provided for convenience and are not endorsements.
8. Newsletter and communications
If you subscribe to The Dispatch or otherwise give us your email, we may send you the content you asked for and occasional news about Spindle. You can unsubscribe at any time using the link in any email or by writing to hello@spindlegrowth.com.
9. Confidentiality
Any non-public information Spindle chooses to share with you through the Services or in connection with them, including details of how our engines operate, is confidential. You agree not to disclose it or use it for any purpose other than evaluating a relationship with Spindle. Our Privacy Policy explains how we handle personal information.
10. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, Spindle disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not warrant that the Services will be uninterrupted, error-free or free of harmful components, or that any content is current or complete.
11. Limitation of liability
To the fullest extent permitted by law, Spindle and its members, managers, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, investment returns or business opportunities, arising from or related to the Services or these Terms. Our total liability for any claim arising from the Services will not exceed one hundred dollars (US $100). Some jurisdictions do not allow these limitations, so some may not apply to you.
12. Indemnification
You agree to defend, indemnify and hold harmless Spindle and its members, managers, officers, employees and agents from claims, losses and expenses, including reasonable attorneys' fees, arising from your Submissions, your use of the Services or your breach of these Terms.
13. Suspension and termination
We may suspend or end your access to the Services at any time for breach of these Terms or where required by law. Sections on intellectual property, submissions, confidentiality, disclaimers, limitation of liability, indemnification and governing law survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-law rules. Any dispute arising from the Services or these Terms will be brought exclusively in the state or federal courts located in Charleston County, South Carolina, and you consent to their jurisdiction. Before bringing a claim, you agree to contact us at hello@spindlegrowth.com and allow thirty days for a good-faith attempt to resolve it.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be posted here with a new effective date. Continued use of the Services after a change means you accept the updated Terms.
16. General
These Terms and our Privacy Policy are the entire agreement between you and Spindle about the Services. If any part is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Our failure to enforce a provision is not a waiver. Neither party is liable for delay or failure caused by events beyond its reasonable control.
